These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and WebNovaBZ ("we", "us", "our"), a web design and development studio operating at webnovabz.com.
By using our website, submitting a contact form, requesting a quote, or engaging us for any service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or services.
These Terms work alongside our Privacy Policy, which explains how we collect and handle your personal data. Both documents should be read together.
2. Our services
WebNovaBZ provides professional web design and development services to businesses and individuals worldwide. Our core services include:
- Web Design — custom, modern website design tailored to your brand, including layout, typography, color, and user experience.
- Web Development — building and coding your website using modern, standards-compliant technologies (HTML, CSS, JavaScript, and related frameworks).
- Mobile-Friendly Sites — responsive design and development so your website looks and works great on phones, tablets, and desktops.
- Related services — as agreed in your specific proposal, this may include content structuring, SEO basics, performance optimization, and ongoing maintenance.
The specific scope, deliverables, and timeline for your project will be defined in a written proposal or statement of work provided to you before work begins. That proposal, together with these Terms, forms the complete agreement for your project.
3. Quotes & proposals
When you contact us through our contact form, we will review your project details and provide a free, no-obligation quote. Quotes are based on the information you provide and are valid for 30 days from the date of issue.
If your project requirements change significantly after a quote is issued (for example, additional pages, features, or a different scope), we may provide a revised quote. No work begins until you have approved the final proposal.
Quotes are provided in USD unless otherwise stated. Any applicable taxes will be added at checkout or invoicing.
4. Payments & fees
Payment terms are as follows unless otherwise agreed in your proposal:
- Deposit — a 50% deposit is required before we begin work on your project. This secures your place in our schedule and covers initial design and planning.
- Final payment — the remaining 50% is due upon completion of the project and before final delivery of files and launch.
- Payment methods — we accept payment via bank transfer, PayPal, and other methods as agreed in your proposal.
- Late payments — if a payment is more than 14 days overdue, we may pause work on your project until the balance is settled. Continued non-payment may result in termination of the project as described in Section 13.
We do not store or process payment card details on our own servers. Payments are processed through secure third-party payment providers.
5. Revisions & approvals
Our standard packages include a defined number of revision rounds, as specified in your proposal:
- Design phase — typically 2 rounds of revisions on the initial design concept before development begins.
- Development phase — typically 2 rounds of revisions on the built website before final delivery.
- Additional revisions — revisions beyond the included rounds may be billed at our standard hourly rate, which will be confirmed before any extra work begins.
You will be asked to review and approve work at key milestones. Your approval (by email or in writing) confirms that the work meets your requirements and allows us to proceed to the next phase. If we do not receive feedback within 14 days of a milestone being shared, the work will be considered approved and we will proceed.
6. Project timeline
We will provide an estimated timeline in your proposal. Timelines are estimates and may be affected by:
- How quickly you provide required content, feedback, and approvals.
- Changes to the project scope after work has begun.
- Unforeseen technical issues or third-party delays.
We will keep you informed of progress and any changes to the timeline. Delays caused by the client (for example, late content or feedback) will extend the project timeline accordingly and are not the responsibility of WebNovaBZ.
7. Your content & responsibilities
You are responsible for providing all content required for your website, including text, images, logos, and any other materials, unless content creation is explicitly included in your proposal.
You confirm that:
- You own or have the legal right to use all content and materials you provide.
- Your content does not infringe the intellectual property rights of any third party.
- Your content does not contain anything unlawful, defamatory, or harmful.
- You will provide content and feedback in a timely manner to keep the project on schedule.
We are not responsible for the accuracy, legality, or completeness of content you provide. If you provide content that we reasonably believe is unlawful or infringing, we may refuse to publish it and will notify you.
8. Intellectual property
Upon full payment of all fees for your project, ownership of the final website design and code we create specifically for you is transferred to you. This includes the custom design, layout, and code developed for your project.
The following remain the property of WebNovaBZ:
- Our pre-existing templates, frameworks, libraries, and tools used in your project.
- Our internal processes, methodologies, and proprietary code.
- Third-party assets (fonts, images, plugins) that are licensed separately and remain subject to their own licenses.
We grant you a perpetual, non-exclusive license to use any pre-existing materials incorporated into your website. We also reserve the right to display your completed website in our portfolio and marketing materials, unless you request otherwise in writing.
9. Third-party services & tools
Your website may use third-party services and tools, including hosting providers, domain registrars, analytics services, and content management systems. These services are subject to their own terms and conditions, which you agree to when you use them.
We are not responsible for the availability, performance, or terms of third-party services. We will, however, recommend reputable providers and help you set up the services included in your proposal.
Domain names and hosting accounts are registered in your name (or transferred to you) unless otherwise agreed. You are responsible for renewing your domain and hosting subscriptions to keep your website live.
10. Warranties & disclaimers
We warrant that the services we provide will be performed in a professional and workmanlike manner, in accordance with the agreed scope and industry standards.
Except as expressly stated in these Terms, our services and website are provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount you have paid to us for the specific project giving rise to the claim.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
12. Maintenance & support
After your website is launched, we provide a 30-day post-launch support period at no additional cost. During this period, we will fix any bugs or issues that arise in the delivered website, provided they are not caused by third-party changes or content you have modified.
Ongoing maintenance and support beyond this period are available through our maintenance packages or at our standard hourly rate. Maintenance may include content updates, security patches, software updates, backups, and performance monitoring.
We are not responsible for maintaining or updating content you manage yourself, or for issues caused by changes made to the website by you or third parties after delivery.
13. Termination
Either party may terminate a project agreement with 14 days' written notice. Upon termination:
- You will pay for all work completed up to the date of termination, at the rates agreed in your proposal.
- Any deposit paid will be applied against work completed. If the deposit exceeds the value of work completed, the balance will be refunded.
- We will deliver any completed work for which payment has been received.
- Unpaid invoices become due immediately upon termination.
We may terminate a project immediately if you breach these Terms, fail to make payment when due, or provide content that is unlawful or infringing.
